1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "You") and MTLG Labs / Alexandr Motologa ("Company", "We", "Us", or "Our"), governing your access to and use of the MCP Studio desktop application, software, and related websites (https://mcp.mtlglabs.space).

By downloading, installing, purchasing, or using MCP Studio, you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the software.

2. Software License & Usage Rights

Community Edition: We grant you a free, revocable, non-exclusive license to use the basic community features of MCP Studio for personal or commercial development purposes.

Pro Lifetime License: Upon purchasing a Pro Lifetime license key, we grant you a perpetual, non-transferable, non-exclusive license to unlock and use all Pro features and the 15-tool developer toolkit. A single Pro license may be activated on up to three (3) personal computing devices owned or controlled by the individual licensee.

Updates: The Pro Lifetime license includes all bug fixes, patches, and feature updates released for at least 1 full year from the date of purchase, with permanent offline operational validity.

3. Payments, Reseller & Refunds

Our order process is conducted by our online reseller and Merchant of Record, Paddle.com. Paddle is the Merchant of Record for all our orders, providing customer service inquiries and handling returns, taxes (including VAT/GST/Sales Tax), and billing compliance.

Refunds & Right of Withdrawal: All refund requests are governed by our Refund Policy. In accordance with international consumer standards and EU Directive 2011/83/EU Article 16(m), upon entering and activating your cryptographic license key inside the MCP Studio application, digital performance is deemed fully executed and statutory rights of withdrawal expire. Unactivated licenses and accidental duplicate purchases qualify for a 14-day refund. Any approved refund triggers immediate cryptographic revocation and deactivation across our sync registry.

4. Bring Your Own Key (BYOK) & Third-Party Services

MCP Studio connects with third-party Large Language Model providers (e.g. OpenAI, Anthropic, Google Gemini) via user-provided API keys ("BYOK"), as well as local offline runners (Ollama). You are solely responsible for compliance with the terms and billing policies of any third-party AI provider you connect. We do not charge ongoing LLM consumption fees and are not liable for costs incurred from external API providers.

5. Restrictions & Prohibitions

You agree not to:

• Decompile, reverse-engineer, disassemble, or circumvent any license validation or cryptographic security mechanisms within the software.
• Resell, lease, rent, redistribute, or share private Pro license keys publicly or with unauthorized third parties.
• Use MCP Studio to build, test, or execute malicious exploits, unauthorized network intrusion tools, or malware.

6. Disclaimer of Warranties

MCP Studio is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, MTLG Labs disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

In no event shall MTLG Labs or Alexandr Motologa be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of the use or inability to use the software. Our total aggregate liability shall not exceed the amount actually paid by you for the software license.
